Welcome to Cyfer Solutions (https://cyfersolutions.com). These Terms and Conditions govern the provision of services by Cyfer Solutions and apply to all clients who engage our web development and digital services.

1. Services

Cyfer Solutions provides professional web development and digital services. These services may include, but are not limited to:

  • Website design and development

  • Custom web application development

  • E-commerce website development

  • Website redesign and modernization

  • UI/UX design services

  • API integrations and third-party service integrations

  • Website performance optimization

  • Website deployment and hosting support

  • Website maintenance services

All services will be delivered based on the scope of work defined in a proposal, quotation, or written agreement between Cyfer Solutions and the client.

Cyfer Solutions reserves the right to decline or discontinue any project that falls outside our expertise, violates applicable laws, or conflicts with our operational policies.

2. Project Scope and Change Requests

Each project begins with a clearly defined scope of work which outlines:

  • Project features and functionality

  • Deliverables

  • Timeline estimates

  • Payment milestones

  • Revision limits

Any requests that fall outside the agreed scope will be considered Change Requests.

Change Requests may result in:

  • Additional costs

  • Adjusted timelines

  • Updated agreements

Cyfer Solutions will notify the client before implementing any work that affects pricing or project timelines.

3. Client Responsibilities

To ensure smooth project execution, the client agrees to:

  • Provide clear and accurate project requirements

  • Supply necessary content including text, images, branding materials, and documentation

  • Ensure they have legal rights to all materials provided

  • Provide timely approvals, feedback, and responses

  • Maintain active communication during the project

The client is responsible for ensuring the accuracy, legality, and quality of the materials they provide.

Cyfer Solutions is not responsible for delays caused by the client’s failure to provide required information or approvals.

4. Payment Terms

All projects require an advance payment before work begins.

Our standard payment structure is:

  • 50% advance payment prior to project commencement

  • Remaining balance payable before final delivery or website launch

For larger or more complex projects, payment terms may be structured differently, including:

  • Milestone-based payments

  • Phased billing

  • Custom payment agreements

All payment details will be clearly stated in the project quotation or agreement.

Failure to complete payments on time may result in:

  • Suspension of project work

  • Delays in delivery

  • Withholding of project files, credentials, or deployment

Cyfer Solutions reserves the right to pause or terminate services if invoices remain unpaid.

5. Revisions Policy

Projects include a limited number of revisions during design and development as defined in the project agreement.

Revisions typically include minor adjustments such as:

  • Design refinements

  • Layout changes

  • Content updates during development

Requests that significantly alter the structure, functionality, or design of the project may be treated as additional work and billed separately.

Once a project phase has been approved by the client, further changes to that phase may incur additional charges.

6. Project Timeline

Project timelines are estimated based on the project scope and expected client cooperation.

Timeline estimates may vary depending on:

  • Project complexity

  • Client response times

  • Additional features requested

  • Third-party service dependencies

Cyfer Solutions will make reasonable efforts to meet agreed timelines but cannot guarantee delivery dates when delays are caused by external factors or client-side delays.

7. Client Delay Policy

Timely communication and cooperation from the client are essential for maintaining project timelines.

If the client fails to provide necessary materials, approvals, or feedback for more than 14 days, the project may be considered delayed due to client inactivity.

In such cases:

  • The project timeline may be adjusted

  • Work may be temporarily paused

  • The project may be rescheduled based on availability

If a project remains inactive for more than 60 days, Cyfer Solutions reserves the right to:

  • Archive the project

  • Apply a project reactivation fee if work resumes

8. Refund Policy

Due to the nature of digital development services, refunds are handled under the following conditions.

The advance payment (typically 50%) is non-refundable, as it covers:

  • Project planning

  • Resource allocation

  • Initial design and development work

If a project is cancelled by the client after work has begun:

  • The advance payment will not be refunded

  • Any completed work beyond the advance payment may still be billed

Refunds will not be issued for:

  • Change of mind after work has started

  • Delays caused by the client

  • Completed project phases

Partial refunds may be considered only in rare cases where work has not yet begun.

9. Intellectual Property Rights

All design files, source code, and project materials remain the property of Cyfer Solutions until full payment has been received.

Upon full payment:

  • Ownership of the final project deliverables is transferred to the client.

Cyfer Solutions retains the right to:

  • Display completed projects in our portfolio

  • Use project screenshots or descriptions for marketing purposes

Third-party tools, plugins, frameworks, and software used in the project remain subject to their original licenses.

10. Client Content Responsibility and Liability

The client is solely responsible for all content and materials provided for the project. This includes but is not limited to:

  • Text and written content

  • Images and graphics

  • Videos and media files

  • Logos and branding assets

  • Documents and downloadable files

  • Third-party scripts or software provided by the client

The client confirms that they own the rights or have obtained permission to use all materials supplied to Cyfer Solutions.

Cyfer Solutions does not verify ownership or legal rights of client-provided content.

The client agrees that provided content must not violate any laws or third-party rights, including:

  • Copyright infringement

  • Trademark violations

  • Defamation

  • Illegal or harmful content

  • Fraudulent or misleading information

The client agrees to indemnify and hold harmless Cyfer Solutions from any claims, damages, or legal actions resulting from the use of client-provided content.

Cyfer Solutions reserves the right to refuse or remove content that may violate laws or regulations.

11. Third-Party Services

Projects may involve third-party services including:

  • Web hosting providers

  • Domain registrars

  • Payment gateways

  • External APIs

  • Plugins or software tools

Cyfer Solutions is not responsible for:

  • Third-party service downtime

  • Pricing changes

  • Policy updates

  • Security vulnerabilities in external software

Clients are responsible for maintaining valid licenses and subscriptions for such services.

12. Website Maintenance

Unless specifically included in the project agreement, ongoing maintenance and support are not included in the development cost.

Maintenance services may include:

  • Security updates

  • Software updates

  • Backup management

  • Performance monitoring

  • Bug fixes after launch

Maintenance services may be offered through separate support agreements.

13. Limitation of Liability

Cyfer Solutions shall not be liable for any indirect or consequential damages including but not limited to:

  • Loss of revenue or profits

  • Business interruption

  • Data loss

  • Security breaches caused by external systems

Our total liability related to any project shall not exceed the total amount paid by the client for that project.

14. Confidentiality

Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the project.

This includes:

  • Business strategies

  • Technical documentation

  • Login credentials

  • Internal processes

Confidential information will not be disclosed to third parties without consent unless required by law.

15. Project Termination

Either party may terminate a project under the following circumstances:

  • Violation of agreed terms

  • Failure to make required payments

  • Communication breakdown preventing project progress

If a project is terminated:

  • Work completed up to that point will be billed

  • Payments already made may not be refundable

  • Deliverables will only be transferred once outstanding payments are cleared

16. Governing Law

These Terms and Conditions shall be governed and interpreted according to the laws of India.

Any disputes arising from these terms shall fall under the jurisdiction of the appropriate courts in India.

17. Changes to These Terms

Cyfer Solutions reserves the right to modify or update these Terms and Conditions at any time.

Any changes will be posted on this page with the updated revision date. Continued use of our services indicates acceptance of the updated terms.
